Terms and Conditions for ChatBridge

Acceptance of Terms

By accessing and using ChatBridge (“Service”), you accept and agree to be bound by the terms and provisions of this agreement. If you do not agree to these Terms and Conditions, please do not use the Service.

Changes to Terms

We reserve the right, at our sole discretion, to amend these Terms of Service at any time and will update these Terms of Service in the event of any such amendments. It is your responsibility to check these Terms periodically for changes. Your continued use of the Service following the posting of any changes constitutes acceptance of those changes.

Account and Access

To access and use our Service, you may need to register with us and set up an account with your email address and a password. You are solely responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities associated with or occurring under your account.
  • Notifying us immediately of any unauthorized use of your account.
  • Ensuring your account information is accurate and kept up to date.

Your Responsibilities

You are responsible for all content you upload, post, or otherwise transmit via the Service, including all WhatsApp messages sent through the platform. You agree to comply with all laws and regulations applicable to your use of the Service, including but not limited to:

  • Meta's WhatsApp Business messaging policies, terms of service, and Commerce Policy.
  • Applicable data protection and privacy laws in your jurisdiction.
  • Laws prohibiting spam, unsolicited communications, and abusive messaging.
  • The requirement to obtain valid consent from your end users before messaging them.
  • All other applicable local, national, and international laws and regulations.

ChatBridge is a middleware platform — you are responsible for the messages you send through the WhatsApp Business API. Misuse of the platform that results in violations of Meta's policies may lead to your WhatsApp Business Account being restricted or banned by Meta.

Payment and Fees

Subscription plans and associated fees are detailed on our pricing page. By subscribing to a paid plan, you authorize ChatBridge to charge your designated payment method on a recurring basis in accordance with your chosen billing cycle via Razorpay. All fees are exclusive of applicable taxes unless stated otherwise.

Each plan includes a monthly API call quota. WhatsApp conversation charges determined by Meta are billed separately based on your actual usage and are passed through at cost.

No Refunds

Subscription charges and WhatsApp conversation charges are non-refundable. By subscribing, you agree to these terms.

Customers in India

By choosing a paid subscription plan, you acknowledge that an e-mandate will be enabled on your card and you will be auto-debited for subscription charges and WhatsApp conversation charges incurred through the last day of your billing period, in accordance with RBI guidelines.

Customers outside India

Recurring charges will be applied to your payment method as per your plan until you cancel. ChatBridge does not provide refunds where you have stopped using the platform or did not use it but failed to cancel your subscription. Charges will continue until your subscription is explicitly cancelled.

API call quota: Upon cancellation, termination, or closure of your account for any reason, any remaining API call quota associated with your ChatBridge account will be forfeited and is non-recoverable. No refund or compensation will be provided for unused quota.

Cancellation: You must cancel your subscription via Settings in ChatBridge before the next billing date. If you do not cancel and are charged for the next period, no refund will be issued.

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of ChatBridge and Algosmiths. The Service is protected by copyright, trademark, and other laws of both India and foreign countries.

You may not copy, modify, distribute, sell, or lease any part of our Service or included software, nor may you reverse engineer or attempt to extract the source code of that software, unless laws prohibit these restrictions or you have our written permission.

Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of these Terms or a violation of Meta's WhatsApp Business policies.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so by cancelling your subscription and discontinuing your use of the Service.

Limitation of Liability

In no event shall ChatBridge, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation:

  • Loss of profits, revenue, or data.
  • Loss of use or goodwill.
  • Costs of procurement of substitute goods or services.
  • Disruptions to WhatsApp Business API access caused by Meta.
  • Any other intangible losses.

These limitations apply whether such damages arise from your access to or use of, or inability to access or use, the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, and whether or not we have been informed of the possibility of such damage.

Governing Law

These Terms shall be governed and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India.
